Olivier begeleidt cliënten bij de vervreemding en de overname van ondernemingen (aandelen en activa), fusies en herstructureringen van vennootschappen, zowel op nationaal als op internationaal niveau. Hij heeft ook specifieke expertise in commerciële contracten die vormen van samenwerking tussen ondernemingen organiseren, zoals joint ventures en franchiseovereenkomsten.

Olivier combineert zijn transactionele activiteit met een geschillenpraktijk die dezelfde domeinen bestrijkt. Hij vertegenwoordigt cliënten in geschillen op het vlak van vennootschaps- en contractenrecht voor rechtbanken en arbitragecolleges.

Zijn activiteit op het vlak van geschillenbeslechting heeft in het bijzonder betrekking op vorderingen na een overname (verklaringen en waarborgen, prijsaanpassing, earn-out, niet-concurrentiebedingen…), conflicten tussen aandeelhouders, precontractuele aansprakelijkheid en de verplichtingen en aansprakelijkheid van bestuurders. Hij verleent ook advies in deze domeinen.

Olivier is een van de weinige Belgische advocaten die zowel voor zijn transactie- als voor zijn geschillenpraktijk een ranking heeft in de toonaangevende juridische gidsen. Dankzij deze combinatie is hij goed onderlegd om zijn cliënten op een efficiënte manier te beschermen tijdens onderhandelingen en het opstellen van overeenkomsten en beheerst hij perfect het mechanisme van overnametransacties en aandeelhoudersovereenkomsten in geval van een geschil.


Opleiding

Olivier Clevenbergh behaalde een diploma in de rechten aan de Université libre de Bruxelles (ULB) in 1989 en een Speciale licentie in economisch recht aan dezelfde universiteit in 1991.

Olivier Clevenbergh is sinds 1989 lid van de Brusselse balie. In 1995 werd hij toegelaten als “solicitor of England and Wales”.
